QAPI Pro® Terms of Service

Effective Date: September 1, 2026

1. Acceptance and Scope

These Terms of Service (“Terms”) govern access to and use of the QAPI Pro® public website and, where applicable, the QAPI Pro web-based Quality Management System and related services provided by QAPI Pro, LLC (“QAPI Pro,” “we,” or “us”).

By accessing or using the website or services, you agree to these Terms. If you use QAPI Pro on behalf of an organization, you represent that you are authorized to do so.

Certain services may also be subject to separate Subscription Agreements, Order Forms, Enterprise Agreements, Business Associate Agreements, data-processing terms, or other customer agreements. If a separate agreement conflicts with these Terms, the applicable separate agreement controls for the services it covers.

2. Use of QAPI Pro

The public QAPI Pro website may be accessed without creating an account. Access to the QAPI Pro application and certain services require an authorized user account.

You may use the website, application, and services only for lawful and authorized purposes and in accordance with these Terms and any applicable customer agreement.

Authorized users are responsible for maintaining the confidentiality of their login credentials and promptly reporting suspected unauthorized access. Customer organizations are responsible for managing authorized user access and ensuring that access is provided and used appropriately.

You agree to provide accurate information when creating an account, requesting services, or communicating with QAPI Pro.

3. Acceptable Use

You may not use the QAPI Pro website, application, or services in any unlawful, fraudulent, abusive, malicious, or unauthorized manner.

You may not attempt to gain unauthorized access to systems or accounts, interfere with the operation or security of the services, introduce malicious code, circumvent access controls, or otherwise disrupt QAPI Pro or other users.

You may not copy, reverse engineering, reproduce, or misuse the QAPI Pro application, content, functionality, or proprietary materials except as permitted by law, an applicable agreement, or written authorization from QAPI Pro.

4. Subscriptions and Services

QAPI Pro may offer different subscription plans, service levels, modules, implementation services, and other solutions. Specific features, pricing, payment terms, implementation requirements, and service arrangements are governed by the applicable proposal, Order Form, Subscription Agreement, or other customer agreement.

QAPI Pro may modify, add, or discontinue plans, features, or services when reasonably necessary for business, operational, technical, or regulatory reasons. Material changes affecting an existing customer relationship will be addressed in accordance with the applicable customer agreement.

5. Intellectual Property

The QAPI Pro website, application, branding, trademarks, content, designs, functionality, documentation, and related proprietary materials are owned by or licensed to QAPI Pro and are protected by applicable intellectual property laws.

Access to QAPI Pro does not transfer ownership of these materials to users or customers. Content from the QAPI Pro website or application may not be copied, reproduced, distributed, modified, republished, or used for commercial purposes except as permitted by law, an applicable agreement, or written authorization from QAPI Pro.

6. Customer Content and Data

Customer organizations and users are responsible for the information and materials they submit, enter, upload, configure, or manage through QAPI Pro, including their accuracy and the authority to collect, use, and provide them.

As between QAPI Pro and the customer, the customer retains its rights in its Customer Data. QAPI Pro may host, process, transmit, maintain, and create necessary copies of Customer Data as reasonably required to provide, secure, support, back up, and recover the services, subject to applicable customer agreements and law.

7. Healthcare and Regulatory Use

QAPI Pro is designed to support healthcare organizations in the systematic management of Quality, regulatory compliance activities, performance improvement, corrective actions, monitoring, and organizational oversight.

QAPI Pro does not provide legal, regulatory, or clinical advice. Customer organizations remain responsible for determining applicable requirements, implementing appropriate policies and practices, making clinical and operational decisions, and determining how QAPI Pro is used within their organization.

When appropriately implemented and consistently used, QAPI Pro is designed to strengthen an organization’s Quality Management processes and help the organization obtain the full benefit of a structured Quality Management System. The effectiveness of the system depends in part on the accuracy and completeness of information provided by users, appropriate use and configuration of available tools, and timely implementation and follow-up of identified Quality issues and corrective actions. Use of the application does not guarantee any survey, regulatory, accreditation, or compliance outcome, including the absence of deficiencies or citations.

QAPI Pro is designed to minimize unnecessary protected health information (PHI), and its standard Quality Management functions are designed to operate without requiring PHI about patients or residents. Users should avoid entering unnecessary PHI and should follow applicable QAPI Pro data-entry requirements and their organization’s privacy and security requirements.

If QAPI Pro identifies or becomes aware of PHI entered contrary to applicable requirements, QAPI Pro may take reasonable steps to secure or restrict access to the information and coordinate appropriate corrective action with the applicable customer organization. Where QAPI Pro processes PHI on behalf of an organization, such processing will be subject to applicable law, the customer agreement, and a Business Associate Agreement where required.

8. Third-Party Services and Service Availability

QAPI Pro may provide links to external websites or resources or may interact with third-party services, technologies, or integrations. Third-party services are governed by their own terms, policies, availability, and practices. References or links to third-party resources do not necessarily constitute endorsement by QAPI Pro.

QAPI Pro may update, modify, suspend, or discontinue features or services when reasonably necessary for maintenance, security, improvement, legal requirements, or business operations. Service availability may also be affected by third-party hosting, infrastructure, internet, telecommunications, customer network connectivity, or other conditions outside QAPI Pro’s reasonable control. While reasonable efforts are made to maintain service availability, uninterrupted or error-free access is not guaranteed unless otherwise provided in an applicable customer agreement.

9. Disclaimers and Limitation of Liability

QAPI Pro is provided as a Quality Management System and related business tool. Except as expressly provided in an applicable customer agreement, QAPI Pro does not warrant uninterrupted availability, error-free operation, or fitness for a particular purpose.

To the maximum extent permitted by law, QAPI Pro will not be liable for indirect, incidental, special, consequential, or similar damages arising from the use of, or inability to use, the website, application, or services.

Liability arising from paid QAPI Pro services will be subject to any limitations established in the applicable customer agreement. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

10. Suspension, General Terms and Contact

QAPI Pro may restrict or suspend access to the application or services when reasonably necessary to address misuse, unauthorized access, security threats, malicious activity, violations of these Terms, or applicable legal or regulatory requirements. Any restriction, suspension, or termination will be subject to applicable law and governing customer agreements, including applicable requirements concerning access to Customer Data or PHI.

QAPI Pro may update these Terms when reasonably necessary to reflect changes in its services, practices, legal requirements, or business operations. Revised Terms will be posted on the website with an updated effective date. Continued use after the effective date constitutes acceptance of the revised Terms where permitted by law.

These Terms are governed by the laws identified in an applicable customer agreement or, where no such agreement applies, by the laws of the state in which QAPI Pro, LLC maintains its principal place of business, without regard to conflict-of-law principles.

If any provision of these Terms is determined to be unenforceable, the remaining provisions will remain in effect. A failure by QAPI Pro to enforce any provision does not constitute a waiver of that provision or any other right.

QAPI Pro® Privacy Policy

1. Scope of this Privacy Policy

This Privacy Policy explains how QAPI Pro, LLC (“QAPI Pro,” “we,” or “us”) collects, uses, shares, and protects information obtained through the public QAPI Pro® website and, where applicable, through business inquiries, customer communications, and account administration.

Information entered or managed by customer organizations within the QAPI Pro application is addressed separately in Section 6 and may also be governed by applicable customer agreements, data-processing terms, Business Associate Agreements, or other requirements. This Privacy Policy does not replace those agreements.

2. Information We Collect

QAPI Pro may collect information that you provide directly, such as your name, email address, organization, phone number, and other information submitted through contact forms, demo requests, business inquiries, account administration, or customer communications.

When you use the website, limited technical and usage information may also be collected automatically. Depending on how the website is accessed and configured, this may include information such as IP address, browser or device information, pages visited, referring source, date and time of access, and website interactions.

For authorized application users, QAPI Pro may maintain account and business contact information necessary to provide and administer access to the application.

3. How We Use Information

QAPI Pro may use information to respond to inquiries, provide requested services, administer customer accounts, communicate with users and organizations, and support customer relationships.

We may also use information to operate, maintain, secure, and improve the website and services, understand general website usage, prevent or investigate misuse or security concerns, and comply with applicable legal or regulatory requirements.

QAPI Pro does not use personal information for behavioral or targeted advertising.

4. Cookies and Analytics

QAPI Pro may use cookies and similar technologies to support website functionality and improve the visitor experience.

QAPI Pro uses Google Analytics to understand general website usage and help improve the website. Google Analytics may collect limited technical and usage information in connection with website visits.

Visitors may manage certain cookie preferences through available website controls or browser settings, where applicable.

5. How We Share Information

QAPI Pro may share information with service providers that support website hosting, analytics, communications, customer support, application operations, security, or other business functions, subject to appropriate contractual or data-protection requirements where applicable.

We may disclose information when reasonably necessary to comply with applicable law, legal process, subpoenas, court orders, governmental or regulatory requests, or to protect the rights, security, property, or legitimate interests of QAPI Pro, its customers, users, or others.

Information may also be transferred as part of a merger, acquisition, reorganization, financing, or sale of all or part of the business, subject to applicable law.

6. QAPI Pro Platform and Customer Data

Organizations using QAPI Pro may enter and manage information within the application in connection with their Quality Management activities. As between QAPI Pro and the customer, the customer retains its rights in its Customer Data and is responsible for determining what information is entered into and for ensuring that it has the appropriate authority to collect, use, and provide that information.

QAPI Pro may host, process, transmit, maintain, and create necessary copies of Customer Data as reasonably required to provide, secure, support, back up, and recover the application and its data, in accordance with applicable customer agreements and law.

QAPI Pro is designed to minimize unnecessary protected health information (PHI), and its standard Quality Management functions are designed to operate without requiring PHI about patients or residents. Users should avoid entering unnecessary PHI and follow applicable QAPI Pro data-entry requirements and organizational privacy and security policies.

Where QAPI Pro processes PHI on behalf of an organization, that information will be handled in accordance with applicable law, the customer agreement, and a Business Associate Agreement where required. This Privacy Policy does not replace those agreements.

7. Data Retention and Security

QAPI Pro retains personal and customer information for as long as reasonably necessary to provide and support the services, maintain appropriate business and security records, comply with contractual, legal, or regulatory obligations, and resolve disputes.

QAPI Pro uses reasonable administrative, technical, and organizational safeguards designed to protect information against unauthorized access, loss, misuse, alteration, or disclosure. No method of electronic transmission, storage, or security can be guaranteed to be completely secure.

When Customer Data is removed from active use or a customer relationship ends, its retention, return, or deletion will be handled in accordance with the applicable customer agreement, Business Associate Agreement where applicable, legal requirements, and established data-retention practices. Limited copies may remain temporarily in protected backup or recovery systems until deleted or overwritten through normal backup processes.

8. Privacy Rights and Choices

Depending on applicable law, individuals may have rights to request access to, correction of, or deletion of certain personal information, or to obtain information about how their personal information is collected, used, or disclosed.

Privacy requests relating to information collected directly by QAPI Pro may be submitted using the contact information provided in this Privacy Policy. QAPI Pro may take reasonable steps to verify a request and will respond in accordance with applicable law and permitted exceptions.

Where personal information is contained in Customer Data managed by a customer organization through the QAPI Pro application, individuals should generally direct privacy requests to that organization. QAPI Pro will support applicable customer obligations as required by law or the governing customer agreement.

Visitors may also manage certain cookie and analytics preferences through available website controls or browser settings, where applicable.

9. Third-Party Services and Children

The QAPI Pro website and services may contain links to or interact with third-party websites, services, or technologies. QAPI Pro is not responsible for the privacy practices, content, or policies of those third parties, and users should review their applicable privacy policies.

The QAPI Pro website and services are intended for healthcare organizations and professional users and are not directed to children.

10. Changes and Contact

QAPI Pro may update this Privacy Policy when reasonably necessary to reflect changes in our services, practices, or applicable requirements. Any revised policy will be posted on the website with an updated effective date.
